
London-listed independent oil and gas producer Genel Energy has agreed to acquire Capricorn Energy in a $360 million all-cash takeover deal, marking a major strategic move to strengthen its presence in Egypt’s energy sector.
The acquisition will give Genel Energy a significant foothold in Egypt’s Western Desert and reduce its heavy reliance on production assets in Iraqi Kurdistan, where geopolitical challenges have created operational uncertainty in recent years.
Details of the Takeover Agreement
Under the terms of the deal, Genel Energy will pay $4.74 per share to Capricorn Energy shareholders.
The offer is structured through:
- $3.75 per share in upfront cash
- A $0.99 special dividend payment
The total value of the offer represents a 33% premium to Capricorn Energy’s closing share price on March 10, before competing interest in the company became public.
Strong Shareholder Support Secured
Genel has already received backing from shareholders representing more than 39% of Capricorn Energy’s shares through irrevocable commitments.
Support has been secured from major institutional investors, including Palliser Capital and Newtyn Management, strengthening confidence in the proposed transaction.
Strategic Move Away From Kurdistan Dependence
The takeover forms part of Genel’s broader strategy to diversify its production base.
For years, the company’s oil output has been heavily concentrated in Iraqi Kurdistan through the Tawke license, leaving it exposed to regional instability, political disputes, and disruptions affecting export routes in northern Iraq.
Pipeline shutdowns and ongoing uncertainty in the region have encouraged Genel to seek additional production hubs with more predictable operating conditions.
Combined Company to Have Balanced Production Portfolio
Following completion of the acquisition, Genel expects its production profile to become more evenly distributed between Egypt and Iraqi Kurdistan.
The combined business is projected to produce approximately 41,000 barrels of oil per day, with output divided roughly equally between the two regions.
The diversification is expected to provide greater operational flexibility and reduce exposure to challenges in any single market.
Egypt Attracts Global Energy Investment
The acquisition highlights Egypt’s growing appeal as an energy investment destination.
Despite broader geopolitical risks in the Middle East, international energy companies continue to target Egypt because of its favorable fiscal arrangements, established production agreements, and mature regulatory environment.
The country’s Western Desert remains an important area for oil exploration and production, attracting companies seeking stable long-term opportunities.
Completion Expected in Second Half of 2026
The transaction is expected to close during the second half of 2026, subject to several conditions, including:
- Court approval
- Capricorn shareholder approval
- Regulatory clearance from the Egyptian General Petroleum Corporation
Under UK takeover regulations, rival bidder Cafani Group has until July 29, 2026, to submit an alternative offer for Capricorn Energy.
If completed, the takeover will represent one of Genel Energy’s most significant expansions outside Iraqi Kurdistan and reshape the company’s position in the international energy market.
